These terms and conditions (“Terms”) apply to the ProService referral rewards program (“Program”) of ProService Hawaii LLC. The purpose of the Program is to bring on new ProService clients through referrals.  A referrer is a ProService client or client employee who submits a referral on the Referral Form located on:

Alternatively, a referrer may contact a ProService employee who can submit the Referral Form on their behalf. A Qualified Referral (defined below) that becomes a ProService Client (defined below) is defined as a “qualified referral.”  The individual that submits the referral is defined as the “referrer”, the referred Point of Contact is defined as the “referred contact”, and the referred company is defined as the “referred company”. Decisions of ProService are final, binding and non-appealable. These Terms are independent of any other relationship between Referrer and ProService. To the extent permitted by applicable law, ProService reserves the right to change or cancel the Program at any time.

Eligibility Rules
  1. Only qualified referral (defined below) are eligible for reward.
  2. The qualified referral cannot be a Spin-off. A Spin-off is defined as an entity that has less than 25% net new WSE’s from an Existing ProService Client.
Definition of a Qualified Referral
  • The referred contact information must be valid
      1. If the referred contact information is incorrect or invalid, ProService will reach out to the referrer for the correct/missing contact information. If new contact information is bad, or the referrer doesn’t have additional contact information, the referral will be deemed invalid.
  • The referred company is not currently in contact with ProService
      1. If the referred contact at the referred company is already in contact with ProService, additional referrals for that company will not be eligible for reward unless:
        1. The existing client referral has been inactive for more than 60 days
        2. The referred contact at the referred company is new and has one of the following job titles: CEO, COO, CFO, HR Director.
  • The referrer must have a personal or professional relationship with the referred contact and notify them that they will be contacted by ProService.
      1. If the referred contact is unaware of who the referrer is or unaware they were referred, the referral is not qualified.
  • If the referred company is out of state and does not conduct business in Hawaii, the referral is unqualified.
  • The referral must be submitted via the ProService PROferral portal or through a ProService client team member to be qualified. Any referral submitted after the referred contact has had a “first meeting” with a ProService Business Development Manager will be invalid.

By submitting the Referral Form, Participant consents to receive electronic communications from ProService Hawaii including advertising and marketing materials.

Rewards for Qualified Referrals

If the referred company meets with ProService, the referrer will receive a $100 Amazon gift card via email.

If a Qualified Referral acquires professional HR services from ProService Hawaii, the referrer’s reward will be paid via check or invoice credit (based on what the referrer chooses) approximately 90 days after the referred company signs their contract.

Program Changes and Termination

To the extent permitted by applicable law, ProService Hawaii may at any time, without prior notice, terminate or modify the Program or these Terms, or both. All questions or disputes regarding eligibility for the Program; eligibility for or award of Cash Rewards, or both; or interpretation of these Terms will be resolved by ProService in its sole discretion. ProService reserves the right to void PROferral rewards if it suspects that such Rewards were earned in a fraudulent manner, in a manner that violates applicable law or these Terms or in a manner otherwise not intended by ProService.

Liability Limitations

In no event shall ProService be liable for any direct, special, indirect or consequential damages, or any other damages of any kind, regardless of the type of claim or legal theory asserted, arising out of or in any way connected with (i) the Program; (ii) the use of or inability to use the site or any materials, or (iii) any claim attributable to errors, omissions, or other inaccuracies in the site or any materials.

Taxes on Rewards

If the referrer selects “Cash Reward,” the referrer will need to fill out and submit a W-9 to referral@proservice.com prior to receiving their reward. The referral reward is taxable income and should be reported as such on the referrer’s taxes.
